The quick answer

Form 1065 is the IRS information return a partnership, including a multi-member LLC taxed as a partnership, uses to report its income, gains, losses, deductions and credits. The partnership generally doesn't pay income tax itself. It is due on the 15th day of the 3rd month after its tax year ends (March 15 for calendar-year partnerships, and March 16, 2026 for 2025 returns), and Form 7004 gives an automatic 6-month extension.

What Form 1065 is

The IRS calls Form 1065 an information return. It reports the income, gains, losses, deductions, credits and other information from the operation of a partnership.

A partnership generally doesn't pay tax on its income. It passes its profits or losses through to its partners, and each partner reports their share on their own return. The partnership tells each partner what that share is on Schedule K-1.

Who must file Form 1065

Every domestic partnership must file Form 1065 unless it neither receives income nor incurs any expenditures treated as deductions or credits for federal income tax purposes.

That includes LLCs. A domestic LLC with at least two members that doesn't file Form 8832 is classified as a partnership for federal income tax purposes, so it files Form 1065.

A foreign partnership generally files too if it has income effectively connected with a U.S. trade or business, or gross income from U.S. sources. One exception covers a foreign partnership with U.S. partners that had no effectively connected income, had U.S. source income of $20,000 or less, and allocated less than 1% of any partnership item to direct U.S. partners.

A partnership that wants to be certified as a qualified opportunity fund must file Form 1065 with Form 8996 attached, even if it had no income or expenses.

  • Married couples: spouses who are the only members of a jointly owned and operated business, both materially participate and file a joint return can elect to be a qualified joint venture instead of a partnership.
  • That election isn't available when the business is held in the name of a state law entity, such as a partnership or an LLC.

Form 1065 due date and extension

A domestic partnership must generally file Form 1065 by the 15th day of the 3rd month after its tax year ends. For calendar-year partnerships, that's March 15.

If the due date falls on a Saturday, Sunday or legal holiday, a return filed by the next business day is treated as timely. The IRS instructions say calendar-year partnerships may therefore timely file their 2025 returns by March 16, 2026.

Form 7004 requests an automatic 6-month extension of time to file. File it by the regular due date of the partnership return.

Form 1065 isn't considered a return unless a partner or LLC member signs it.

E-filing and where to mail

Since 2024, a partnership must file Form 1065 and its related forms and schedules electronically if it files 10 or more returns of any type during the tax year. That count includes information, income tax, employment tax and excise tax returns. A partnership with more than 100 partners must also e-file Form 1065 and its Schedules K-1.

A partnership that wants a waiver of the e-file rule sends a written request to the IRS Ogden Submission Processing Center. Waiver requests can also be faxed to 877-477-0575.

Paper returns go to the IRS address listed for the state where the partnership's principal business, office or agency is located. If Schedule M-3 is filed, Form 1065 must be filed at the Ogden Internal Revenue Service Center.

A partnership must file Schedule M-3 instead of Schedule M-1 if its total assets at the end of the tax year, as reported on Schedule L, are $10 million or more, or if its adjusted total assets for the year are $10 million or more.

Schedule B, question 4: the small partnership exception

Question 4 of Schedule B lets a partnership skip Schedules L, M-1 and M-2, item F on page 1 of Form 1065, and item L on Schedule K-1 if it meets all four of these conditions.

  • Total receipts for the tax year were less than $250,000
  • Total assets at the end of the tax year were less than $1 million
  • Schedules K-1 are filed with the return and furnished to the partners on or before the due date, including extensions
  • The partnership isn't filing, and isn't required to file, Schedule M-3

Schedule K-1, K-2 and K-3

Schedule K-1 gives each partner their share of the partnership's items. It starts with ordinary business income (line 1), net rental real estate income (line 2), other net rental income (line 3) and guaranteed payments to partners (line 4), followed by portfolio income such as interest (line 5) and dividends (line 6).

Schedules K-2 and K-3 report items of international tax relevance. A partnership that meets all four question 4 conditions is excepted from completing them if it notifies its partners no later than when it furnishes the Schedules K-1, and no partner asks for Schedule K-3 by the 1-month date.

A domestic filing exception also exists. It can apply when the partnership's foreign activity is limited to passive category foreign income with no more than $300 of creditable foreign income taxes shown on a payee statement.

The 1-month date is 1 month before the partnership files Form 1065. For calendar-year 2025 partnerships that file an extension, the latest 1-month date is August 17, 2026.

Penalties for a late or incomplete Form 1065

Unless the failure is due to reasonable cause, the late filing penalty is $255 for each month or part of a month the failure continues, up to 12 months, multiplied by the number of people who were partners during any part of the tax year. The IRS lists $255 as the base rate for returns due after December 31, 2025, and $245 for returns due during 2025.

A separate $340 penalty may apply to each Schedule K-1 (and Schedule K-3) not furnished on time, complete and correct. If the requirement is intentionally disregarded, the penalty rises to $680 per schedule or, if greater, 10% of the amounts required to be reported, with no cap.

The IRS presumes reasonable cause for certain small partnerships under Rev. Proc. 84-35. The partnership must have 10 or fewer partners (a married couple filing jointly counts as one), every partner must be an individual other than a nonresident alien or the estate of a deceased partner, each partner's items must be allocated in the same proportion, and each partner must have reported their share on a timely filed return.

Amending Form 1065

The centralized partnership audit regime applies to all partnerships unless an eligible partnership elects out on Schedule B-2. A partnership under this regime changes a partnership-related item by filing an administrative adjustment request (AAR), not an amended return.

An amended return or AAR filed electronically uses Form 1065 with box G(5) checked, plus Form 8082 for an AAR. If it won't be filed electronically, the partnership uses Form 1065-X.

The partnership must usually keep records that support each item on its return for 3 years from the date the return is due or filed, whichever is later.

Worked example

Say a three-member LLC taxed as a partnership files its calendar-year 2025 Form 1065 on July 10, 2026, with no extension and no reasonable cause. The return was due March 16, 2026, so it is late for 3 full months plus part of a 4th, which counts as 4 months. Late filing penalty: $255 x 3 partners x 4 months = $3,060. If the three Schedules K-1 also reached the partners late, a separate $340 penalty may apply to each: 3 x $340 = $1,020. Had the partnership filed Form 7004 by March 16, 2026, its filing deadline would have moved 6 months later.

Common questions

Who has to file Form 1065?

Every domestic partnership, unless it had no income and no expenditures treated as deductions or credits. A domestic LLC with two or more members files it by default unless it elected to be a corporation on Form 8832.

When is Form 1065 due?

The 15th day of the 3rd month after the tax year ends: March 15 for calendar-year partnerships. For 2025 returns, the IRS says calendar-year partnerships may file by March 16, 2026. Form 7004, filed by the due date, gives an automatic 6-month extension.

Can a married couple's business skip Form 1065?

Only if it qualifies as a qualified joint venture: the spouses are the only members, both materially participate, they file jointly, and the business isn't held in the name of a state law entity such as an LLC.

Does a small partnership have to fill out Schedules L, M-1 and M-2?

Not if it meets all four conditions in Schedule B, question 4: total receipts under $250,000, year-end total assets under $1 million, Schedules K-1 filed and furnished on time, and no Schedule M-3 requirement.

What is the penalty for filing Form 1065 late?

$255 per partner for each month or part of a month, up to 12 months, for returns due after December 31, 2025, unless the failure is due to reasonable cause. Late or wrong Schedules K-1 can add $340 each.

Do partnerships have to e-file Form 1065?

Yes, if they file 10 or more returns of any type during the tax year, or have more than 100 partners. A waiver can be requested from the IRS Ogden Submission Processing Center.
