The CBT-100 is due the 15th day of the fourth month after the accounting period ends. A 6-month extension needs Form CBT-200T with the tentative tax paid by the original due date.

Partnerships and LLCs: NJ-1065 and the filing fee

Every partnership or LLC taxed as a partnership with income from New Jersey sources, or a New Jersey resident partner, files Form NJ-1065, due April 15 for calendar-year filers. Partnerships with more than two partners and New Jersey income or loss may owe a $150 filing fee per partner, up to $250,000, plus an installment payment toward next year.

A five-month extension is available if at least 80% of the fee is paid by the original due date. Partnerships with 10 or more partners must file electronically.

A partnership with nonresident partners also files Form NJ-CBT-1065 and pays tax on their shares: 6.37% for nonresident non-corporate partners and 9% for corporate partners. Its extension needs 90% of the tax paid by the original due date.

Pass-Through Business Alternative Income Tax (PTE/BAIT)

Partnerships, New Jersey S corporations and multi-member LLCs can elect BAIT if at least one member is liable for New Jersey Gross Income Tax on their share. Single-member LLCs and sole proprietorships can't elect.

For calendar-year filers, the election and Form PTE-100 are due March 15. Estimated payments on Form PTE-150 are required if BAIT exceeds $400, due April 15, June 15, September 15 and January 15. Form PTE-200-T gives 6 more months to file if 80% of the tax is paid by the original due date.

The Division's PTE page lists rates of 5.675% on the first $250,000, 6.52% from $250,000 to $1 million, 9.12% from $1 million to $5 million and 10.9% over $5 million.

Sales and use tax

New Jersey's sales tax is 6.625% on most tangible personal property, specified digital products and certain services unless exempt.

Every registered seller files Form ST-50 quarterly, due April 20, July 20, October 20 and January 20. A business that collected more than $30,000 in sales tax in the prior year also makes monthly payments by the 20th for the first two months of a quarter when that month's tax is more than $500.

Payroll: withholding, NJ-927 and contribution rates

New Jersey income tax withheld from wages is remitted electronically, weekly, monthly or quarterly, or annually. Employers with $10,000 or more of withholding in the prior year pay weekly, by the Wednesday after the week of the payday. Others use Form NJ-500 by the 15th of the next month whenever month 1 or 2 of a quarter reaches $500.

Formation fees, annual report and penalties

DORES charges $100 for a certificate of incorporation, an LLC certificate of formation or a foreign certificate of authority or registration. The annual report is $75 for corporations, LPs and LLCs, with no expediting.

Late returns to the Division of Taxation cost 5% of the tax due per month, up to 25%, and the Division may also charge $100 a month. Interest runs at prime plus 3%. A bill sent to collection adds a Referral Cost Recovery Fee of 9.85% from June 15, 2026, down from 11%.

Worked example

A New Jersey LLC taxed as a partnership has four members and New Jersey income in 2026. It files Form NJ-1065 by April 15, 2027 and may owe the $150 filing fee for each of its four partners, $600, plus the installment payment toward next year. If it instead were a C corporation with $180,000 of New Jersey gross receipts and a small loss, it would still owe the $750 minimum tax.
